Terms of Service

These Terms of Service ("Terms") govern your use of the website and mobile application operated by Gingham Holdings, Inc. d/b/a Lex ("Lex," "we," "us," or "our"). By using our services, you agree to these Terms.

1. Acceptance of Terms

By accessing our website, creating an account in the Lex app, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our services.

2. Description of Service

Lex provides non-custodial wallet software for holding and transferring supported digital assets on public blockchain networks. Where enabled, Lex also provides a self-directed interface for users to authorize fixed-route swaps through third-party on-chain protocols. The user's wallet submits the transaction and the protocol executes it; Lex does not custody assets, maintain an exchange balance, act as principal or counterparty, or provide brokerage or investment-advisory services. Separately, the provider identified in the app — not Lex — provides virtual account numbers and executes any fiat deposit, withdrawal, fiat/USDC conversion, and settlement under that provider's terms. Lex is a financial technology company, not a bank. Digital assets are not legal tender and are not insured by the FDIC, IPAB, FGC, or any deposit-insurance scheme.

3. Eligibility and Verification

Features are available only in supported jurisdictions. Creating and using the basic non-custodial wallet does not require a separate Lex identity-verification or sanctions-screening profile. Optional bank, card, or other partner programs may require the identity, age, sanctions, and other checks disclosed for that program. Buying or selling tokenized stocks requires an eligible account country and your confirmation that you are at least 18, are not a U.S. person, and are outside the United States. You agree to provide accurate, current information. We and our partners may decline, suspend, or close access to meet legal or risk obligations.

4. Your Wallet and Your Responsibility

Your wallet is non-custodial: it is controlled by a cryptographic key secured by a passkey on your device. Lex never holds your funds and cannot move them without your authorization. You are responsible for maintaining access to your device, your passkey, and your recovery methods. If you lose all of them, your funds may be permanently unrecoverable — by design, Lex cannot restore access for you. Blockchain transactions are irreversible; always verify addresses and amounts before confirming.

5. Fees

Any Lex fee, provider fee, exchange rate, price impact, minimum output, and network (gas) cost applicable to a transfer, conversion, or swap is shown in the app before you confirm it. Fiat providers supply and execute their own quotes under their terms. For an on-chain swap, Lex displays output from an approved protocol route and compares it with an independent reference price, but the third-party smart contract executes the transaction from your wallet. Quotes expire and prices may change before confirmation. We may change Lex fees prospectively; changes will be reflected in the app.

6. Digital Asset Risk Disclosure

Digital assets involve risk. Stablecoins, including currency-denominated stablecoins, may lose their intended value and depend on their issuer, reserves, redemption terms, and available liquidity. Tokenized stocks are blockchain tokens and are not shares held in a brokerage account; they involve issuer, price-tracking, oracle, liquidity, smart-contract, regulatory, and underlying-market-hours risk. On-chain swaps may fail or execute at the disclosed minimum output, and transactions are generally irreversible. Yield products are provided through third-party protocols; returns are variable, are not guaranteed, and can result in loss of principal. Blockchain networks may experience congestion, forks, or failures beyond our control. You alone are responsible for evaluating these risks.

7. Prohibited Use

You may not use Lex to violate any law; to launder money or finance terrorism; to evade sanctions; to engage in fraud or market abuse; to infringe others' rights; or to interfere with the operation or security of our services. You may not use the services if you are located in, or a resident of, a jurisdiction subject to comprehensive sanctions, or if you appear on a sanctions list.

8. Intellectual Property

All content, trademarks, software, and materials in our services are owned by Lex or its licensors and are protected by law. You may not reproduce, modify, or create derivative works without our prior written consent.

9. No Guarantee of Product Features

Features described on our website or in the app — including card products, rails, currencies, and yield options — may change, be discontinued, or never launch. Waitlist position does not guarantee access to any product. Physical card products, where offered, are subject to separate terms and issuance by licensed partners.

10. Third-Party Services

Parts of the service are provided by third parties, including banking, payment, and fiat-conversion providers, Turnkey key infrastructure, digital-asset issuers, Aerodrome on-chain liquidity and routing, Chainlink reference-price feeds, other protocols, and blockchain networks, under their own terms. The provider identified for a fiat route is the provider and counterparty for its transaction and is responsible for any required verification, quote, conversion, and settlement. For self-directed swaps, the user's wallet interacts with the identified protocol; Lex is not the exchange, broker, custodian, principal, or settlement counterparty. Lex remains responsible for the services Lex provides. To the extent permitted by law, Lex is not responsible for third-party acts or omissions, including delays or failures of issuers, price feeds, liquidity, banking rails, protocols, or blockchain networks; nothing in these Terms limits rights that cannot lawfully be waived.

11. Disclaimer of Warranties; Limitation of Liability

Our services are provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, Lex and its officers, directors, employees, and partners shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of funds resulting from your loss of access to your passkey or recovery methods, from blockchain network behavior, or from acts of third parties. Our aggregate liability shall not exceed the greater of one hundred U.S. dollars or the fees you paid us in the twelve months before the claim.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
